Occidental Petroleum expects the closing of its $12-billion deal to buy CrownRock to be delayed to the second half of 2024 as the Federal Trade Commission (FTC) has asked for additional information while it reviews the proposed transaction.

At the end of last year, Oxy said it would buy Permian oil and gas producer CrownRock for cash and stock in a deal valued at around $12 billion, including debt, with which it joined the wave of recent mergers and acquisitions in the U.S. oil industry.
The acquisition will boost Occidental’s premier Permian portfolio with the addition of around 170,000 barrels of oil equivalent per day (boed) of high-margin, lower-decline unconventional production in 2024, as well as approximately 1,700 undeveloped locations.

At the time of the announcement in early December, Oxy and CrownRock expected to close the deal in the first quarter of 2024, subject to customary closing conditions and the receipt of regulatory approvals.

However, the FTC sent last month requests to both companies asking them for additional information related to the acquisition, Occidental’s top executives said on the earnings call on Thursday.

“The FTC's request for additional information will impact the timing of closing, which we expect to occur in the second half of the year,” Oxy’s Senior Vice President and CFO, Sunil Mathew, told analysts.
Responding to an analyst question about FTC’s fresh request for information, chief executive Vicki Hollub said,

“Well, some of our teams felt like they'd asked for everything. But I can tell you our teams are working diligently to work with the team at the FTC to get them all the answers that they need.”

“We're progressing and hope to, as we said, be able to close in the second half of this year,” Hollub added at the call after Occidental Petroleum reported its strongest quarterly financial results in three years for the final three months of 2023, beating analyst expectations.

États-Unis : Occidental Petroleum rachète CrownRock pour 12 milliards de dollars

La compagnie pétrolière américaine Occidental Petroleum a annoncé lundi qu'elle allait racheter CrownRock, un producteur de gaz et de pétrole, également américain, pour quelque 12 milliards de dollars.

Cette opération, qui permettra à Occidental Petroleum de se renforcer dans le bassin permien dans le sud des Etats-Unis - une immense région riche en gaz et en pétrole de schiste -, vient s'ajouter à plusieurs acquisitions majeures réalisées par des géants du secteur de l'énergie ces derniers mois.

L'acquisition sera finalisée au premier trimestre 2024, explique dans un communiqué Occidental Petroleum, qui la financera à hauteur d'environ neuf milliards de dollars en s'endettant.

Elle va permettre à Occidental d'étendre sa position dans le bassin permien, en ajoutant à sa propre production environ 170.000 barils d'équivalent pétrole par jour en 2024, précise le communiqué.

"Nous pensons que l'acquisition des actifs de CrownRock s'ajoute au portefeuille le plus solide et le plus différencié qu'Occidental ait jamais eu", a fait valoir la directrice générale de la compagnie, Vicki Hollub, citée dans le communiqué.

Le secteur pétrolier, fort d'une trésorerie solide après les importants bénéfices enregistrés en 2022, voit se multiplier les opérations de grande ampleur ces derniers mois aux Etats-Unis.

En octobre, le groupe pétrolier américain ExxonMobil avait annoncé qu'il allait racheter son compatriote Pioneer Natural Resources pour environ 60 milliards de dollars. Il s'agissait là aussi de se renforcer dans le bassin permien, qui attise les convoitises.

Quelques jours plus tard, c'était au tour du géant de l'énergie Chevron d'annoncer le rachat, pour 53 milliards de dollars, du producteur de gaz et de pétrole Hess.

Dans les échanges électroniques avant l'ouverture de la Bourse de New York, le titre d'Occidental reculait de 0,8% à 56 dollars.

US-based energy company Occidental has agreed to acquire Canadian climate solutions firm Carbon Engineering (CE) in an all-cash deal worth $1.1bn.

Under the terms of the definitive purchase agreement signed by its fully owned subsidiary, Occidental will pay the total consideration in three approximately equivalent annual payments. The first of which will be made at the closing of the deal.

Carbon Engineering is focused on globally implementing large-scale direct air capture (DAC) technology, which seizes carbon dioxide from the atmosphere. The captured carbon dioxide can either be securely stored deep underground or utilised to generate clean and cost-effective transportation fuels.

According to Occidental, the acquisition of Carbon Engineering is in line with its integrated net-zero strategy. Following the completion of the transaction, the climate solutions firm will become a fully owned subsidiary of Oxy Low Carbon Ventures.

Besides, the transaction will enable Occidental, via its 1PointFive subsidiary, to quickly advance breakthroughs in DAC technology. It will also help the energy company to expedite the deployment of DAC as a large-scale, economical, global carbon removal solution.

Occidental president and CEO Vicki Hollub said: “We expect the acquisition of Carbon Engineering to deliver our shareholders value through an improved drive for technology innovation and accelerated DAC cost reductions.

”The technology partnership also adds new revenue streams in the form of technology licensing and royalties. Importantly, the acquisition enables Occidental to catalyse broader development partnerships for DAC deployment in the most capital efficient and valuable way.”

Occidental and Carbon Engineering have been collaborating on DAC deployment since 2019. The latter’s DAC-based climate solutions are said to leverage standardised processes and proven industrial equipment.

Berkshire Hathaway, la holding de Warren Buffett, a obtenu le feu vert du régulateur américain pour acquérir jusqu'à 50% de la compagnie pétrolière Occidental Petroleum, selon un document réglementaire publié vendredi.

Les titres du groupe pétrolier Occidental Petroleum Corporation ont bondi de 9,88%, pour clôturer à 71,29 dollars à Wall Street. Ceux de Bershire Hathaway ont lâché 2,30%, à 297,28 dollars.

La Federal Energy Regulatory Commission (FERC) a indiqué vendredi que la société d'investissement de Warren Buffett avait demandé, le 11 juillet, l'autorisation d'acquérir jusqu'à 50% de la compagnie, qui est un des plus grands producteurs de pétrole sur le territoire américain, avec d'importantes activités pétrochimiques et de production électrique.

Warren Buffett a commencé à gonfler sa participation dans Occidental Petroleum après l'invasion de l'Ukraine par la Russie et détient actuellement 18,72% des actions ordinaires du groupe pétrolier, selon le document de la FERC.

L'autorité de régulation du secteur a estimé que la transaction "(n'aurait) pas d'effet préjudiciable sur la concurrence" ni "sur les prix de gros de l'énergie électrique".

Occidental Petroleum est la cinquième plus importante capitalisation américaine dans le secteur pétrolier et pèse 66 milliards de dollars.

Depuis la première annonce de l'entrée de Berkshire Hathaway au capital, début mars, le titre a grimpé de 50%.

Occidental Petroleum : le "chouchou" de Warren Buffett décuple ses profits

Occidental Petroleum, sans doute la valeur préférée du moment de la firme Berkshire Hathaway de Warren Buffett, a publié hier soir à Wall Street ses derniers comptes. Occidental a battu le consensus de profit, dégageant sur la période trimestrielle un bénéfice ajusté par action de 3,16$ (consensus 3,07$), contre 32 cents de bénéfice par titre un an plus tôt. Le groupe pétrolier et gazier américain a réalisé des revenus trimestriels de 10,74 milliards de dollars, 10% de mieux que les attentes de marché, contre un peu plus de 6 milliards de dollars un an auparavant. Le groupe a aussi réduit sa dette, et lance un programme de rachat d'actions, profitant du haut niveau des prix du pétrole et du gaz.

Occidental soigne son bilan.
Le groupe a remboursé une grande partie de la dette contractée en 2019 pour acheter son rival Anadarko Petroleum. Au deuxième trimestre, la firme a remboursé 4,8 milliards de dollars de dettes et lancé un programme de rachat d'actions de 3 milliards de dollars. La société énergétique basée à Houston a enregistré un bénéfice ajusté de 3,2 milliards de dollars pour le trimestre.

Berkshire Hathaway détient désormais une participation de 19,5% dans Occidental, dont le cours a plus que doublé cette année, alors que la société profite de la hausse des prix du pétrole et du gaz suite à l'invasion de l'Ukraine par la Russie.

Berkshire Hathaway Inc. snapped up about 5.9 million more shares of Occidental Petroleum Corp., as the conglomerate run by billionaire Warren Buffett piles deeper into its bet on the oil giant.

The shares were bought May 2 and May 3 at prices ranging from about $56 to $58.37 apiece, according to a filing late Wednesday. Omaha, Nebraska-based Berkshire had previously built up a roughly 14.6% holding of Occidental’s common stock, in addition to the preferred stake that it acquired in 2019 when the oil company was putting together its deal for Anadarko Petroleum Corp.

Occidental, which was the best-performing stock in the S&P 500 during the first quarter, has seen its shares benefit from Buffett’s purchases and higher oil prices driven by the war in Ukraine. Its stock gained 3.9% Wednesday in regular New York trading to $61.57, and has more than doubled this year.

The Houston energy company said the deal includes an up-front payment of $700 million, with the rest payable based on production and commodity price targets.

Occidental, which has announced more than $2 billion of divestitures that it expects to complete this year as it works to pare its substantial debt load, said it continues to advance additional asset sales.

Un petit retour sur le cours de son action:

Occidental Petroleum avait souffert après la chute des prix de 2014. Pas autant que Whiting ou Chesapeake cependant. Mais lors de l'acquisition d'Anadarko en mai dernier, le cours avait bien chuté. OXY avait acquis Anadarko pour $38 milliards, et sa capitalisation tourne actuellement autour des $41 milliards.

Ce Hedge fait clairement penser que OXY envisage que le cours du pétrole ne dépassera pas $74 dans les deux prochaines années, et risque même de stagner en-dessous de $55. C'est pas complètement absurde, le maximum atteint dans les 5 dernières années était de $75 en octobre 2018.
C'est la cata pour eux : c'est descendu à 9.65 $

Occidental Petroleum (NYSE: OXY) has announced that it has entered into a deal to sell Wyoming, Colorado and Utah land grant assets to Orion Mine Finance for approximately $1.33 billion.

The transaction is expected to close in the fourth quarter of this year and has a footprint of approximately 4.5 million mineral acres and one million fee surface acres, according to Oxy. The company noted that it will retain all cash flow from currently producing oil and gas properties on the position.

Around 2.5 million mineral acres derived from the land grant in Colorado, including Oxy’s core DJ Basin position, is not included in the sale, the Houston headquartered business outlined. Under the deal, Orion is acquiring mineral rights to the world’s largest known trona deposit, Oxy highlighted. Trona is a mineral used to make soda ash, the principal ingredient in baking soda, global glass manufacturing, pollution control systems and other chemical applications.

“This transaction significantly advances the progress against our $2 billion plus divestiture target for 2020,” Oxy’s president and chief executive officer, Vicki Hollub, said in a company statement.

j'aimerais bien avoir confirmation de cette info et de la bonne interprétation

Buffet possède pour 10 Mds d'actions spéciales qui lui rapportent 8 % par an suite à l'achat d'anadarko.
En mars 2020, il s'est fait payé ses 800 M de dividende préférentiel en actions communes (le cours était à 11,42).
Donc, je pense qu'il n'a vendu que les 800 M d'actions commune en empochant le bénéfice (14$ Vs 11.42$ ).

Warren Buffett’s Berkshire Hathaway has sold its common stock interest in Occidental Petroleum, according to a regulatory filing cited by Bloomberg.

Berkshire Hathaway had bought $10 billion in Oxy shares to help fund the company’s acquisition of Anadarko, which in hindsight, turned into one of the most ill-timed acquisitions in the history of oil. The acquisition cost Oxy some $55 billion and was aimed at expanding its presence in the U.S. shale patch.


In addition to the investment that helped fund the deal, Buffett’s investment vehicle also accumulated more interest in the oil company as Oxy paid its latest quarterly dividend in shares because it lacked the cash.

The exit could add to already significant pressure on Occidental, which has been desperately trying to turn things around as it became the worst-performing oil company on the S&P 500 Energy Index, shedding 64 percent since the start of the year. The news about Buffett’s offloading of his stake in the company will hardly serve to push the stock higher.


Occidental reported a net loss of $8.4 billion for the second quarter of the year, booking impairment charges on its oil and gas assets because of the slump in oil prices. These came in at $6.6 billion. Of this, $5.2 billion in impairments was booked on continuing operations.

Oxy has a debt load of some $40 billion, most of which it took on last year when it bought sector player Anadarko just months before oil prices tanked. About $11 billion of this debt matures by 2022, and the company is actively seeking ways to conserve and generate cash. Part of its efforts in this direction had it agree to sell its African operations to France’s Total for $8.8 billion, but the supermajor only bought Oxy’s assets in Mozambique and South Africa. According to Total, an understanding between Occidental and the Algerian authorities prevented the company from selling that business, on which the Ghana asset sale was contingent.

Occidental Petroleum Corp. booked a total impairment of $6.6 billion for the second quarter after the collapse in energy prices reduced the value of several of its assets.

The shares fell as much as 3.3% in after-market trading in New York.

Almost every large oil and gas company has either taken or warned of massive writedowns after energy markets collapsed in the second quarter, eroding the value of their reserves. With uncertainty over when or if petroleum demand will fully recover and savage spending cuts, the industry is effectively saying large portions of its oil in the ground may never be economically produced.

Occidental is struggling with a $40 billion debt burden after its ill-timed purchase of Anadarko Petroleum Corp. last year. The company is currently considering selling assets and refinancing to pay down the $5 billion of debt due next year.

The company is in talks to sell operations in Africa and the Middle East to Indonesia’s state-owned PT Pertamina for about $4.5 billion, people familiar with the matter said last month. It’s also running a process to sell land and minerals in Wyoming.

Acculé par une dette de 40 milliards de dollars et la chute de plus de 60 % du cours de ses actions depuis début 2020, Occidental Petroleum pourrait obtenir une bouée de sauvetage avec Pertamina qui lui propose le rachat de 4,5 milliards $ d’actifs. Les négociations sont ouvertes.


Le producteur indonésien de pétrole et de gaz Pertamina a annoncé qu’il a démarré des pourparlers avec la société américaine Occidental Petroleum, pour lui racheter pour 4,5 milliards de dollars d’actifs énergétiques en Afrique et au Moyen-Orient. Une opération dont le produit potentiel servira à alléger la dette de la société texane qui s’élève à 40 milliards de dollars.

Pour rappel, cette dette a été contractée l’année dernière lorsque la compagnie s’est engagée dans le rachat de sa rivale Anadarko qui avait des actifs en Afrique, au Moyen-Orient et dans le très prolifique bassin du permien, aux Etats-Unis. Occidental a été ensuite surpris par la chute des prix du pétrole qui a entrainé dans son sillage ses actions avec une baisse de plus de 60 % depuis le début de cette année.

Parmi les actifs visés par Pertamina, on compte entre autres des champs de pétrole et de gaz au Ghana, en Algérie, à Oman, et aux Emirats arabes unis. Pour l’instant, les deux parties n’ont pas fourni plus de détails techniques sur les termes des négociations.

En cas de succès, il pourrait s’agir de l’une des plus grosses cessions de l’année, surtout dans un climat caractérisé par le pire ralentissement du secteur depuis plusieurs décennies.

Mai 2019: La compagnie Occidental Petroleum, évaluée à $56.3 milliards, mettait la main sur Anadarko pour une transaction de $38 milliards. Elle a contracté de la dette et vendu des actifs pour pouvoir s'offrir cet opérateur.

Moins d'une année plus tard, la compagnie est évaluée à $10.5 milliards... Ce qui donne une idée de la situation financière des opérateurs US. Avec $10 milliards, tu peux acquérir un truc qui était estimé à $94$ milliards il y a une année (enfin, pas tout à fait, certains actifs ont été vendus entre autre à Total)

Sauf qu'évidemment, avant que ça ne se produise... Ben les "requins" vont attendre que ça se casse la gueule bien au fond pour se l'offrir au meilleur prix.

De ce que je comprends du deal réalisé par OXY, ils ont réussi à sécuriser leur prix de vente 2020 à 55 $ (tant que le cours ne descend pas sous 45$). Mais pour cela ils ont du "hypothéquer" leur prix de vente 2020 mais aussi 2021 (en le plafonnant à 74$).
Du coup, y a un petit coté fuite en avant.

le plancher à 45 $ vient de percer, si le WTI reste dessous. OXY perd 20 % de chiffre d'affaire en vendant à moins de 45 $ au lieu d'etre sécurisé à 55 $.
